1. Acceptance of Terms

By accessing or using RAF Code IQ ("the Platform," "we," "our," or "us"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this Platform.

These Terms of Service apply to all users of the Platform, including healthcare providers, medical coders, practice administrators, and any other authorized users.

2. Description of Services

RAF Code IQ is an AI-powered Risk Adjustment Factor (RAF) coding platform designed to help healthcare providers and medical practices:

  • Identify missing or incomplete HCC (Hierarchical Condition Category) codes
  • Manage RAF coding workflows and queues
  • Track revenue opportunities from accurate risk adjustment coding
  • Generate compliance-ready documentation and audit trails
  • Collaborate with team members on coding reviews

3. User Accounts and Access

3.1 Account Registration

To access the Platform, you must be authorized by your organization and receive valid login credentials. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Access Requirements

You must be at least 18 years old and authorized by a healthcare organization to use this Platform. Access is granted based on role assignments configured by your organization's administrator.

3.3 Account Security

You agree to:

  • Maintain strong, unique passwords
  • Enable multi-factor authentication when available
  • Notify us immediately of any unauthorized access
  • Never share your credentials with others
  • Log out when using shared devices

4. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Access patient data without proper authorization
  • Share or export Protected Health Information (PHI) improperly
  • Use the Platform for fraudulent coding practices
  • Attempt to bypass security measures or access controls
  • Introduce viruses, malware, or other harmful code
  • Interfere with the proper functioning of the Platform
  • Use automated systems to access the Platform without authorization
  • Violate any applicable healthcare regulations including HIPAA

5. Healthcare Compliance

5.1 HIPAA Compliance

RAF Code IQ is designed to be HIPAA compliant. All users must adhere to HIPAA regulations when using the Platform. We maintain administrative, physical, and technical safeguards to protect PHI in accordance with HIPAA requirements.

5.2 Business Associate Agreement

Organizations using RAF Code IQ to process PHI must have a Business Associate Agreement (BAA) in place with us. Contact your administrator if you have questions about your organization's BAA status.

5.3 Coding Accuracy

While RAF Code IQ assists in identifying potential coding opportunities, the ultimate responsibility for accurate coding and documentation rests with the healthcare provider and their coding team. All codes should be verified against clinical documentation before submission.

6. Intellectual Property

The Platform, including its original content, features, and functionality, is owned by RAF Code IQ and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purpose.

You may not copy, modify, distribute, sell, or lease any part of the Platform without our explicit written consent.

7. Data and Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

We implement industry-standard security measures including encryption, access controls, and audit logging to protect all data processed through the Platform.

8. Service Availability

We strive to maintain high availability of the Platform. However, we do not guarantee uninterrupted access and may temporarily suspend service for:

  • Scheduled maintenance (with advance notice when possible)
  • Emergency security updates
  • Technical issues beyond our reasonable control
  • Compliance with legal requirements

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

RAF Code IQ is a decision-support tool. It does not replace professional medical judgment or the expertise of certified medical coders. Users are responsible for verifying all coding recommendations against clinical documentation.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAF CODE IQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

11. Indemnification

You agree to indemnify, defend, and hold harmless RAF Code IQ and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your use of the Platform, violation of these Terms, or violation of any applicable laws or regulations.

12. Termination

We may terminate or suspend your access to the Platform immediately, without prior notice, for any breach of these Terms. Your organization may also terminate your access at any time.

Upon termination, your right to use the Platform will cease immediately. All provisions of these Terms that should survive termination shall survive, including intellectual property rights, disclaimers, and limitations of liability.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Los Angeles County, California.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
